Terms of Service

These terms govern your use of this website and the services provided by ZAM, the solo practice of Julian Zamora. The specifics of any engagement are governed by a separate written proposal or statement of work (SOW), which prevails where it differs from these general terms.

Acceptance and description of services

By using this website or engaging ZAM, you agree to these terms. ZAM provides embedded operations consulting and custom software builds: auditing owner-operated businesses, building systems they own, adding automation and AI, and training teams. The exact scope, deliverables, and timeline of any engagement are defined in a separate written proposal or SOW agreed with you.

Fees and payment

Fees are set out in your proposal or SOW. Payments are made through PayPal or Wise, and ZAM does not store your card details. Any deposits, credits, or payment schedule are governed by the proposal or SOW for that engagement.

Client responsibilities

  • Provide timely access to the people, information, and systems needed to do the work.
  • Give feedback and approvals within reasonable timeframes.
  • Ensure you have the right to share any data or access you provide.
  • Make payments as agreed in your proposal or SOW.

Intellectual property and ownership

Custom deliverables built specifically for you transfer to you upon full payment for the relevant work. ZAM retains ownership of its pre-existing tools, frameworks, libraries, templates, and general know-how, including improvements to them. To the extent any of these are embedded in your deliverables, ZAM grants you a perpetual, worldwide, non-exclusive license to use them as part of those deliverables.

Confidentiality

Each party will protect the non-public information the other shares in the course of an engagement and use it only to perform or receive the services, except where disclosure is required by law.

Warranties and disclaimers

This website is provided on an "as is" and "as available" basis without warranties of any kind. Services are performed with reasonable professional skill and care. Except as expressly stated, ZAM disclaims all other warranties, whether express or implied, including merchantability and fitness for a particular purpose.

Limitation of liability and indemnification

To the maximum extent permitted by law, ZAM will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data. Total liability arising out of an engagement will not exceed the fees you paid for the work giving rise to the claim. You agree to indemnify and hold ZAM harmless from claims arising out of your misuse of the deliverables, your breach of these terms, or your violation of any law or third-party right.

Term, termination, and governing law

These terms apply while you use the site or an engagement is active. Either party may terminate an engagement as set out in the relevant proposal or SOW. Provisions that by their nature should survive, including ownership, confidentiality, disclaimers, and limitation of liability, survive termination. These terms are governed by the laws of the Philippines, where the practice is based, without regard to conflict-of-law principles.

Changes and contact
